Pacific Online Systems Corporation (POSC) was
incorporated 11 November 1993 and is engaged in the business of developing,
designing & managing online computer systems, terminals & software for
the Philippine gaming industry. The firm leases to the Philippine Charity
Sweepstakes Office (PCSO) under a two-network system, an on-line lottery
equipment & accessories for the latter's lottery operations in Vis-Min.
POSC has an 8-year Equipment Lease Agreement (ELA) with the PCSO which also has
an attached Maintenance & Repair Agreement (MRA). Last 15 February 2005,
POSC entered into a Supply & Service Contract (SSC) with Scientific Games
Worldwide Ltd., a global marketing & technology leader in lottery,
pari-mutuel & telecom industries that replaced the old GTEC Infrastructure
to AEGIS System. On 13 March 2006, POSC entered into a 2nd SSC with Intralot SA
Integrated Lottery Systems & Services, a firm based in Greece & leading
supplier of integrated gaming & transaction processing systems, for the
provision of another new system running under LOTOS application
software. Pacific Online Systems Corporation engages in the design,
development, and management of online computer systems, terminals, and software
for the gaming industry in the Philippines. It brokers technology from various
suppliers of integrated gaming systems and leases the equipment needed for the
online lottery operations to the Philippine Charity Sweepstakes Office (PCSO).
The company also provides technical support services to the PCSO. As of
December 31, 2006, it deployed 980 online lottery terminals. The company is
headquartered in Pasig City, the Philippines. Year over year, Pacific Online
Systems Corp. has been able to grow revenues from $337.7M to $413.6M. Most
impressively, the company has been able to reduce the percentage of sales
devoted to cost of goods sold from 82.18% to 78.48%. This was a driver that led
to a bottom line growth from $32.6M to $50.5M.

Philippines (March 1, 2007) -- At least 14 companies are preparing to go public
between 2007 and 2010 to take advantage of the booming stock market, the
Association of Securities Analysts (ASAP) in the Philippines said yesterday.
ASAP director Astro del Castillo said in a press briefing that the majority
of these companies planned to conduct an initial public offering (IPO) this
year and the next. Among them is Pacific Online which has filed an
application with the Securities and Exchange Commission and the Philippine
Stock Exchange to go public. Pacific Online, the exclusive online lottery

generate as much as P250 million in proceeds from the public offering.
Proceeds from the IPO would be used to purchase 600 new terminals for the
deployment of the Keno online lottery, the first marathon lottery from 12 noon
to 12 midnight daily. The firm is targeting to have 1,500 terminals in Visayas
and Mindanao by mid-2007. Underwriters for the offering will be Asian
Alliance Investment Corp. and BDO Capital & Investment Corp. The
company is 43% owned by listed company Belle Corp., 37% owned by Abacus Global
Technovisions, Inc., and 20% owned by Tanjong Public Ltd. Co., a Malaysian
holding firm. In 2005, Pacific Online partnered with
Scientific Games Corp. to upgrade
PCSO's online data center and install 900 online lottery terminals in the
Visayas and Mindanao . Early this year, Pacific Online successfully completed
the $10-million upgrade of the traditional lottery system to the
state-of-the-art lottery and terminal system.
